End-User License Agreement
Effective date: July 17, 2026
This End-User License Agreement ("Agreement") governs use of the Traxis Manufacturing customer portal at portal.traxismfg.com (the "Portal"), operated by Traxis Manufacturing LLC ("Traxis," "we," "us"). By accessing or using the Portal you agree to this Agreement. If you use the Portal on behalf of a company, you represent that you are authorized to bind that company, and "you" includes that company.
1. License
Traxis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal to request quotes from Traxis, review and accept quotes, place and track orders, and manage billing and account information in connection with your business relationship with Traxis. All rights not expressly granted are reserved by Traxis and its licensors.
2. Accounts
Portal accounts are provided to Traxis customers and their authorized personnel. You are responsible for keeping your credentials confidential and for activity under your account. Notify us promptly at sales@traxismfg.com if you suspect unauthorized use. We may suspend or deactivate accounts that are inactive, compromised, or used in violation of this Agreement.
3. Acceptable use
You agree not to:
- use the Portal for any unlawful purpose or in violation of export control laws;
- upload files containing ITAR- or EAR-controlled technical data, classified information, or malicious code;
- attempt to gain unauthorized access to the Portal, other customers' data, or connected systems;
- probe, scan, or test the vulnerability of the Portal without our prior written authorization;
- interfere with or disrupt the Portal, or use it to build a competing service.
4. Your content
You retain all rights to the drawings, specifications, purchase orders, and other materials you submit ("Customer Content"). You grant Traxis a license to use Customer Content solely to provide quotes, manufacture parts, fulfill orders, and operate the Portal — including processing uploaded files with automated tools (which may include third-party cloud AI services) to extract part and quote information. You are responsible for having the rights to the content you submit.
5. Quotes, orders, and commercial terms
Quotes, purchase orders, pricing, and delivery commitments made through the Portal are governed by the commercial terms agreed between your company and Traxis, including any terms referenced in the applicable quote. This Agreement governs use of the Portal software itself and does not modify those commercial terms.
6. Third-party services
The Portal relies on third-party services (hosting, database, email delivery, our ERP system, and our accounting system, QuickBooks Online). Their availability is outside our control, and their handling of data is described in our Privacy Policy.
7. Confidentiality
Quotes and pricing shared with you through the Portal are Traxis confidential information. Customer Content you upload is treated as your confidential information and handled per our Privacy Policy.
8. Disclaimer of warranties
The Portal is provided "as is" and "as available." To the maximum extent permitted by law, Traxis disclaims all warranties regarding the Portal software, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This disclaimer applies to the Portal software only and does not limit any product warranties agreed in your commercial terms with Traxis.
9. Limitation of liability
To the maximum extent permitted by law, Traxis will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of use of the Portal, and Traxis's total liability arising out of the Portal software will not exceed one hundred dollars (US $100). This limitation does not apply to liability that cannot be limited by law and does not limit liability under your separate commercial agreements with Traxis.
10. Termination
You may stop using the Portal at any time and may request account closure. We may suspend or terminate access for breach of this Agreement or when an account is no longer associated with an active customer relationship. Sections 4 and 7–11 survive termination.
11. General
This Agreement is governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Travis County, Texas. We may update this Agreement by posting a revised version on this page with an updated effective date; continued use of the Portal after an update constitutes acceptance. If any provision is unenforceable, the remainder stays in effect.
